COMPANY REGISTRATION

A new Act for the Commercial Registry is in force since 01.01.2008. It concerns the procedure of registration of commercial companies on the territory of Bulgaria, and the procedures were amended at whole. This fact is important for the investors who would like to carry out business activity in Bulgaria and for the foreigners who would like to achieve immovable property in Bulgaria.

After joining of Republic of Bulgaria to the European Union there are still limitations for the foreign citizens who wish to buy land or ideal part of land in Bulgaria. They could own a land through a company registered on the territory of The Republic of Bulgaria under the local requirements, which company shall be entitled to buy the property as a legal entity

According to the new act said above the procedures are simplified and instead of a suit before a court, the registration of the company is an administrative procedure, which still remains under the control of the court as the decision of the commercial register's lawyers may be appealed before the respective district court.

On the grounds of the new Act all companies should re-register at the Commercial Register in three years term after entering the Act into force i.e. the deadline for completing this legal requirement is 31 Dec 2010. After that day all companies which have not been re-registered shall be discontinued ex officio.
